Islamabad: Pakistan Telecommunication Company Limited (Pakistan Telecommunication Company Limited) has confirmed the completion of its acquisition of 100 percent shareholding of Telenor Pakistan and Orion Towers, saying the move would lead to the merger of its mobile operations into a single entity, subject to regulatory approvals.
Speaking at a news conference at a local hotel in Islamabad, PTCL officials said the transaction took effect from December 31, 2025, and that Telenor Pakistan and Orion Towers would now operate as wholly owned subsidiaries of PTCL.
They said Telenor Pakistan would continue to function as a separate legal entity during the transition period, after which it would be merged with Pak Telecom Mobile Limited, commonly known as Ufone 4G, to form a single mobile company. The merger will be implemented after obtaining the required approvals from relevant regulators.
PTCL officials said the consolidation was aimed at integrating spectrum assets, network infrastructure and operational capabilities to improve efficiency and service quality in a challenging telecom environment. They said the merged entity would be better positioned to expand network coverage, enhance data services and respond to the growing demand for digital connectivity across the country.
Addressing the media, PTCL and Ufone 4G President and Chief Executive Officer Hatem Bamatraf said the completion of the acquisition was a major milestone for the company and the telecom sector. He said the focus during the transition would be on continuity of services, retention of talent and a smooth integration process while moving towards the planned merger.
The company also acknowledged the role of Telenor ASA in the development of Pakistan’s telecom market over the past two decades, saying its contribution had helped improve service standards and expand access to mobile connectivity nationwide.
Industry analysts say the planned merger represents one of the most significant consolidations in Pakistan’s telecom sector in recent years and is expected to reshape competition in the mobile market.
